- Introduction and Acceptance of Terms
Welcome to Movana. These Terms and Conditions (“Terms”) are a binding legal agreement between you (“User,” “you,” “your”) and Movana Inc. (“we,” “us,” or “our”). These Terms govern your use of the Movana mobile application and any related services (collectively, the “Service”).
Our Service is a technology platform that enables professional moving companies (“Movers”) to send you an AI-powered questionnaire to help prepare and organize your move.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
- The Movana Service
a. Our Role as a Technology Platform: You acknowledge and agree that Movana’s role is strictly limited to providing a software tool to Movers. The Movers who use our Service are independent, third-party contractors. Movana Inc. is not a moving company, broker, or carrier. We do not provide moving services, and we are not a party to any agreement you may have with a Mover.
b. Mover-User Relationship: We are not responsible for the performance, conduct, quality, or legality of the services provided by any Mover. We do not vet, endorse, or guarantee any Movers. Any disputes, damages, or issues that arise between you and a Mover during or as a result of a move must be resolved directly between you and that Mover.
- User Accounts
To use the Service, you will receive an invitation from a Mover, typically via email. By following the link provided and accessing the Service, you are creating a User account. Our authentication is passwordless; to log in, you will be sent a unique link to the email address associated with your account. You are responsible for keeping this email account secure and for all activities that occur under your Movana account.
- User Conduct and Responsibilities
You agree to use the Service only for its intended purpose. You agree not to:
- Use the Service for any fraudulent, illegal, or harmful purpose.
- Harass, threaten, or otherwise violate the legal rights of others, including your Mover.
- Upload, post, or share any content that is unlawful, obscene, defamatory, or otherwise objectionable (“Illegal Content”).
- Attempt to reverse engineer, decompile, or disassemble any part of the Service.
- Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
- User Content
The Service allows you to upload content, including images and videos of your inventory (“User Content”), to be analyzed and shared with your Mover.
- Ownership: You retain all ownership rights to your User Content.
- License to Us: By uploading User Content, you grant Movana Inc. a worldwide, non-exclusive, royalty-free license to use, reproduce, modify (e.g., to create summaries), and display that User Content for the sole purpose of providing the Service and sharing the information with your selected Mover.
- Responsibility: You are solely responsible for your User Content and the consequences of sharing it. We have the right, but not the obligation, to remove any User Content that we believe violates these Terms.
- Payments, Fees, and Cancellations
All payments for moving services are handled directly between you and your Mover. Movana Inc. does not process any payments for moves and is not responsible for any financial transactions, cancellations, or refund policies between you and a Mover. As there are no fees for the User to use the Movana Service, there is no refund policy applicable to our Service.
- Intellectual Property
The Service, including its software, logos, branding, and all other content provided by us (“Movana IP”), is the exclusive property of Movana Inc. and its licensors. These Terms do not grant you any right, title, or interest in the Movana IP, other than the limited right to use the Service as described.
- Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MOVANA Inc. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE’S CONTENT OR THE CONDUCT OF ANY MOVERS.
- Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MOVANA INC., ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM:
- ANY ERRORS, MISTAKES, OR INACCURACIES OF THE SERVICE.
- PERSONAL INJURY, PROPERTY DAMAGE, OR FINANCIAL LOSS OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR USE OF THE SERVICE OR YOUR ENGAGEMENT WITH A MOVER.
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES PAID BY USER TO MOVANA IN THE LAST TWELVE(12) MONTHS PERIOD.
- Indemnification
You agree to defend, indemnify, and hold harmless Movana Inc. and its affiliates, officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including any copyright, property, or privacy right.
- Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York, New York, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
- Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the new Terms within the Service and updating the “Effective Date” at the top. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
